描述: The Board of Directors is an Organ charged with the preservation of non secured interests of shareholders engaged in a financial venture, in spite of the partnership approach which suffers from imprecision. The objective of this paper is to determine the characteristics of the Board which help improve on the financial profitability of French-Cameroonian Joint Ventures. From a sample of 41 enterprises observed during the 1995-2000 period, it is noticed that an efficient Board operating in a context where there is no financial market is that whose size is relatively small, where Board members from French partner are higher in number, and who often replace the technical director than other functional directors. These results, which confirm the governance-performance determinism, are still to be relativized given the recent conclusion (P.A. Gompers, J.L.Ishii, A. Metrick, 2003; N. Chidambaran, D. Palia. Y. Zheng, 2006; L. Lehn, S. Patro, M. Zhao, 2005) which favour the relationship between the quality of governance indice (or Board of Directors) and Performance. [PUB ABSTRACT]
